签合同前，AI 逐条标红黄绿、写清为什么

这份节选不宜照签：付款、保留金、误期赔偿和保险都超过你的底线。
最先谈第2、3、4条，第8、9、11条也应改，避免已赚的钱被单方扣走。
我不是律师，以下仅按节选审阅；涉及法律效力的地方建议问律师。

矛盾、缺项及未提供附件

- 第1条随时指示与第5条事前书面变更存在执行冲突；未见明确直接矛盾。
- 图纸未提供，无法核范围、规格和版本；其他附件是否存在不明。
- 未给完工日期、实际完工定义及确认程序、工期顺延机制。
- 未写审批期限、变更估价办法、缺陷通知及修复期限、独立争议程序。
- 第3、6条均依赖全项目完工；它们期限不同，本身不构成矛盾。

硬期限核对

原文：每月申报一次；批准后45工作日付款；全项目实际完工后12个月返保留金、24个月缺陷期；终止提前7天书面通知；变更须施工前书面指示；误期按日历日计。完工日期未给，审批无期限。拟改：付款30日历日或法定更早日；保留金在分包实际完工后6个月内返半、12个月内返余款。

先谈三条：2付款、4误期赔偿、3保留金。若只能守一条，优先付款，且须同时堵住第9条任意抵扣；若对方真的一条都不让，建议不签。

这份协议建议改完再签：付款、停送、赔偿、锁价和期限都碰到你的底线。第4条与附件2的付款期直接矛盾，附件1未提供。我不是律师，以下仅按原文作商业审阅；条款效力及免责范围建议问律师。

矛盾、缺项及附件

- 第4条“月末后30天”与附件2“月末后60天”冲突，未写优先顺序。
- 缺第6条：确认是编号错误还是漏页；附件1未提供。
- 未列五家店地址；未写续约通知期限、争议处理程序、发票异议期限、扣款核对及返利计算细则。
- 免责、限制供货等是否有效，建议问律师，别自行认定无效。ACCC说明指出，小企业标准合同可能受不公平条款规则保护。

先谈三项

1. 第4条＋附件2＋第8条一起谈：30天付款，逾期超过14天可停送。
2. 第5条：换错货、坏货，删除营业损失及利润赔偿。
3. 第1＋2条：一年到期，保留季度油价调价权。

硬日期核对

原文：2026年11月1日起三年，之后每次续一年；不续通知期限未写。下单截止16:00；次日7:00–10:00送达；迟超30分钟可扣款。付款为月末后30／60天；例如11月1日发票，分别到12月30日／次年1月30日，约59／90天。解约通知为买方14天、你六个月；返利一月支付，具体日未写。建议稿新增调价通知14天、双方解约30天，需核可操作性。

若对方一条都不让：不签。若只能先守一项，先守第5条删除营业损失和利润赔偿；一次索赔可能远超货款，但这不代表其他底线可以放弃。
